1. Agreement to these terms

These Terms of Use ("Terms") govern your use of precicorp.com, go.precicorp.com and any page that links to these Terms (together, the "Site"), operated by PrecisionPro Solutions LLC, a New Jersey limited liability company ("PrecisionPro," "we," "us"). By using the Site you agree to these Terms. If you do not agree, do not use the Site.

2. Information only — no offer, no contract

The Site describes our services for general information. Nothing on the Site is an offer, a bid, a quotation, a warranty or a guarantee. Prices, scopes, schedules, response times and service levels apply only when they are stated in a written proposal accepted in writing, a purchase order or a signed service agreement (a "Written Agreement"). If the Site and a Written Agreement differ, the Written Agreement controls.

Submitting a form, sending an email or calling us does not create a contract, a client relationship or a subcontract, and does not obligate either party. A partner or subcontractor application is not an offer of work.

3. Licensed work and site conditions

Electrical, plumbing, HVAC, fire-protection, paving, fencing and other licensed trade work is performed only by contractors holding the licenses the work requires, under a Written Agreement. Descriptions of services on the Site are general and are not engineering, architectural, legal, safety or code-compliance advice for your property. Always confirm requirements for your specific site with a qualified professional. Service availability outside New Jersey and New York depends on scheduling and on the licensing and registration rules of the state and locality where the work takes place, and is confirmed only in a Written Agreement.

4. Project examples, photos and figures

Project descriptions and photos show work performed by PrecisionPro and its supervised partners; client names are withheld, and photos may be cropped or edited to protect client confidentiality and the privacy of people pictured. Past projects do not guarantee similar results, costs or timelines for your property. Figures shown on the Site, such as projects completed and jobs in progress, are summary counts taken from our internal job records, are updated periodically and may lag our current activity.

5. Acceptable use

You agree not to: use the Site for any unlawful purpose; submit false, misleading or another person's information; send spam, malware or automated submissions; attempt to gain unauthorized access to the Site, our servers or data; scrape or harvest data or contact details; interfere with the Site's security or operation; or use the Site to infringe anyone's rights.

6. Your submissions

You are responsible for the information you send us and confirm that it is accurate and that you are authorized to share it. Do not send confidential, sensitive or personal health or financial information through the Site's forms. We may use the information you submit to respond to you and as described in our Privacy Policy.

7. Intellectual property

The Site's content, including text, photos, graphics, the PrecisionPro name and logo, and the Site's design, is owned by or licensed to PrecisionPro and protected by copyright and trademark law. You may view and print pages for your internal business use. Any other copying, modification, distribution or commercial use requires our written permission. Third-party names and logos, including those of professional associations we belong to, are the property of their owners, are shown only to identify our membership, and do not imply that those organizations endorse PrecisionPro.

8. Third-party sites and services

The Site may link to or use third-party sites and services (for example, maps, analytics, scheduling or payment tools). We do not control them and are not responsible for their content, availability, terms or privacy practices.

9. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, PRECISIONPRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. Warranties for services, if any, are only those stated in a Written Agreement.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PRECISIONPRO AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100). Liability for services is governed solely by the applicable Written Agreement. Some jurisdictions do not allow certain limitations, so some of them may not apply to you.

11. Indemnification

You agree to defend, indemnify and hold harmless PrecisionPro and its members, managers, employees and agents from any claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your submissions, or your violation of these Terms or of any law or third-party right.

12. Governing law, disputes and venue

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Before filing any claim, you agree to contact us at service@precicorp.com and try in good faith to resolve the dispute informally for at least 30 days.

Any dispute arising out of or relating to the Site or these Terms that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Essex County, New Jersey; judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief in court for misuse of intellectual property or unauthorized access. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. Disputes about services provided under a Written Agreement are governed by that agreement's dispute terms.

To the extent a claim is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New Jersey. Any claim relating to the Site must be brought within one (1) year after it arises, where permitted by law.

13. Electronic communications

By contacting us electronically you consent to receive electronic replies. We send text messages only if you opt in on our contact form; you can reply STOP at any time. See our Privacy Policy.

14. Changes, severability and entire terms

We may update these Terms by posting a new version with a new effective date; changes apply from that date. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest of the Terms remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with our Privacy Policy, are the entire agreement about the Site and supersede prior statements about it.
